As of March 31, 2021, Starco Brands, Inc. (the "Company") is unable to complete the filing of its Annual Report on Form 10-K ("Form 10-K") for the year ended December 31, 2021 within the prescribed time without unreasonable effort or expense. As disclosed in its Form 8-K filed on March 15, 2021, the Company received formal notice of the resignation of its previous independent registered public accounting firm, and engaged a new independent registered public accounting firm to act as the Company's independent auditor in auditing the Company's financial statements for the year ended December 31, 2021. The Company and its newly engaged independent registered public accounting firm need additional time to allow the complete the audit of information required to be included in its Form 10-K. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, Registrant intends to file its Annual Report on Form 10-K no later than the fifteenth calendar day following the prescribed due date.
